The Legal and Corporate Secretary is responsible for providing strategic legal counsel, overseeing corporate governance practices, ensuring regulatory compliance, and managing complex contract matters.
Responsibilities:
- Provide expert legal advice and guidance on various matters, including contracts, intellectual property, and regulatory compliance.
- Assess legal risks and develop strategies to mitigate them effectively.
- Review, negotiate, and draft legal agreements, including contracts, term sheets, and exit agreements.
- Manage any legal disputes, litigation, or regulatory matters in collaboration with external legal counsel.
- Ensure compliance with all corporate governance requirements and standards.
- Maintain and update corporate records, bylaws, and other legal documents.
- Facilitate and support board meetings and shareholder communications.
- Oversee the company's adherence to ethical and legal principles, promoting transparency and integrity.
- Stay current on relevant laws and regulations affecting the business and keep the organization informed.
- Develop and implement compliance policies and procedures.
- Manage relationships with regulatory authorities and reporting obligations.
- Supervise the review, negotiation, and execution of contracts, ensuring that they align with the company's objectives and risk tolerance.
- Collaborate with external counsel as necessary in complex legal matters.
- Lead Data Protection and Privacy initiatives across Koltiva AG and its subsidiaries.
Requirements:
- Bachelor’s degree in law, Business Administration, or related field. MBA or LLM are preferred.
- Minimum of 12 years of progressive experience in a legal or corporate secretarial role, with at least 8 years in a leadership or managerial capacity.
- Extensive knowledge of corporate law, governance principles, and regulatory compliance requirements.
- Demonstrated expertise in contract drafting, negotiation, and management.
- Exceptional leadership and communication skills, with the ability to influence and collaborate effectively at all levels of the organization.
- Strong analytical and problem-solving abilities, with a strategic mindset and attention to detail.
- Proven track record of managing complex Legal and Corporate governance initiatives and driving successful outcomes.
- Ability to thrive in a fast-paced, dynamic environment and manage multiple priorities effectively.
