Key Responsibilities:
- Corporate Governance: Overseeing corporate governance matters, including the preparation and maintenance of corporate records, board meetings, compliance with corporate formalities and liaise with corporate secretary in singapore
- Investors : Provide legal support for fundraising back office activities as well as coordinate with lawyers and corporate secretary in Singapore to ensure the smooth running of the process. Coordinate with current investors for all necessary legal arrangements
- Contracts: Draft, review, and negotiate a wide range of contracts, including partnerships with Farms, customer contracts, vendor agreements, capex procurement ,etc…
- Licensing : Ensure compliance with business licensing requirements related to export/import operations in the agriculture sector. Oversee permitting and regulatory compliance for agricultural activities.
- Compliance: Stay up-to-date with relevant regulations in the Agriculture industry and ensure the company's compliance with all applicable laws
- Intellectual Property: Manage and protect the company's intellectual property portfolio, including patents, trademarks, and copyrights. Monitor potential infringements and take necessary actions to protect IP assets.
- Risk Management: Identify and mitigate legal risks associated with business operations. Provide guidance and ensure investors guidance implementation on risk management strategies to the executive team.
- Mergers and Acquisitions: Provide legal support for any potential mergers, acquisitions, or investment transactions.
- Litigation and Dispute Resolution: Manage any legal disputes, litigation, or regulatory investigations that may arise. Work with external legal counsel as needed.
- Legal advice : Provide legal advice to internal stakeholders based on request
- Team : Determine targets and to do lists for short-term, medium-term and long-term legal projects. Supervise legal staff for daily work
Qualifications:
- -5+ years of legal experience, with minimum bachelor degree in law.
- -Experience in the agriculture or export industry is a plus.
- -Experience in law firm or/and start up is a plus.
- -Excellent negotiation, communication, and problem-solving skills.
- -Ability to work independently and collaboratively in a fast-paced, dynamic environment.
- -Proven track record of successfully managing legal matters in a business context.
