We are seeking a highly skilled and experienced Corporate Legal Manager to join us as a key member to our legal team.
The ideal candidate will have a strong background in corporate law and transactional matters, with a focus on general corporate for our group companies, project financing, M&A, joint ventures, investments, and commercial issues.
Responsibilities :
General Corporate, Finance and Commercial Transaction
• Provide expert legal advice and guidance on various transactional matters, including project financing, M&A, joint ventures, investments and other corporate transactions
• Advise on general corporate commercial matters, including drafting and negotiating contracts, agreements, and other legal documents
• To coordinate on the Annual and Extraordinary General Meeting of Shareholders, Board of Commissioners Meeting and Board or Directors Meeting in order to ensure compliance of Company’s Article of Association and applicable company law.
• To coordinate on the composing process of corporate annual report in order to ensure the report has fulfilled the requirements of Company’s Article of Association and applicable company law
• Collaborate closely with internal stakeholders to assess and manage legal risks, ensuring compliance with applicable laws and regulations
• Provide legal support and execution for business restructuring, mergers/amalgamation, acquisitions, and other strategic deals or special projects.
• Liaise with public notaries, external lawyers, and government authorities in relation to general corporate, licensing, and corporate secretarial matters
Regulatory Compliance & Licenses
• Maintain regulatory licenses, including but not limited to, regulatory reporting, regulatory filing, and regulatory liaison, and ensuring legal compliance across the business
• Understand and anticipate new regulations and proactively communicate business changes and notifiable events to internal stakeholders.
Requirements :
• Should have at least a bachelor’s degree in law
• Admission to the Indonesian bar and in good standing is prerable
• Should have at least of 6 years of post-qualification experience (PQE) in a reputable law firm and/or relevant in-house legal department, with a focus on corporate law and transactional matters
• Strong experience in advising on General Corporate, Financing, M&A, joint ventures, investments and other transactional matters
• Solid understanding of general corporate commercial issues and the ability to provide pragmatic legal solutions
• Fluent in English writing and speaking
• Excellent drafting, negotiation, and communication skills
• Demonstrated ability to manage external counsel effectively
• Strong stakeholder management skills, with the ability to work collaboratively with cross-functional teams and build relationships at all levels of the organization
• Display commercial acumen and the ability to balance legal considerations with business objectives
• Exceptional analytical and problem-solving skills, with attention to detail
• Ability to work independently, prioritize tasks, and manage multiple projects simultaneously
• Demonstrated professionalism, integrity, and discretion in handling confidential information
